The Investor declares that they fully understand and assume all risks associated with investments in crowdfunding projects, some of which are summarised below in a non-exhaustive manner.
The Investor's investment is not covered by the deposit guarantee established in accordance with Directive 2014/49/EU of the European Parliament and of the Council on deposit guarantee schemes or the related provisions of Romanian law.
The Investor's investment is not covered by investor compensation schemes established in accordance with Directive 97/9/EC of the European Parliament and of the Council on investor compensation schemes or the related provisions of Romanian law.
Investments in crowdfunding projects involve risks, including the risk of partial or total loss of the money invested.
There is a risk that the Investor may not be able to sell/transfer shares when desired or at the price at which the Investor wishes to carry out the transfer. Even if the Investor were able to transfer them, the Investor could still be subject to losses.
The Investor's ability to transfer shares is also subject to legal and regulatory restrictions and procedures. The Investor should obtain legal advice regarding the transfer of shares.
The Investor acquires shareholder or member rights as provided by the applicable legislation and the corporate documents.
The Investor will not hold direct ownership rights over the assets of the companies funded through crowdfunding campaigns.
Crowdfunding participation is not a savings product, and the Platform recommends that the Investor does not invest more than 10% of their net worth in crowdfunding projects.
Given the nature of commercial companies, there may be limited information — financial, operational or otherwise — regarding the project owner. There is a risk that: (i) there may be facts or circumstances relating to the project owner of which the Investor is not aware, and (ii) the information available to the public and the information on the Platform regarding the project owner may prove to be inaccurate, and, as a result, the Investor may suffer a total or partial loss of their investment.
The Platform does not independently verify the information regarding the project owner, except for legal due diligence checks.
Although the Platform evaluates the potential of project owners to determine which projects will be available as potential investments for the Investor, this evaluation does not constitute a recommendation for the Investor to invest in any particular project.
The Platform shall not be liable with respect to the past, present or future performance or non-performance of the project owner.
The Investor should consult their own legal, tax, investment and financial advisors regarding the suitability, appropriateness and timeliness of participating in any crowdfunding campaign.
Investments in crowdfunding projects involve significant risks and are suitable only for investors capable of evaluating and bearing these risks, who have a limited need for liquidity in their investments, and who can afford the complete loss of the investment. The Investor must bear the economic risk of the investment.
The information in the project owner's Key Investment Information Sheet (KIIS) or any other documents related to the Investor's participation in the crowdfunding campaign has not been verified or approved by any Romanian or European authority.
The Investor's education and knowledge may not necessarily have been assessed before the Investor was granted access to the crowdfunding campaign. By making this investment, regardless of the entry knowledge tests or loss-bearing capacity simulations that may be available on the Platform, the Investor assumes a high risk in making this investment, including the risk of partial or total loss of the money invested.
